Terms of Service — OLY ERP

1. Who we are

OLY ERP is provided by OLY Technologies, a trade name of Kidus Kinfe Araya (sole proprietorship), TIN 0064380139, registered at Bole Sub-City, Woreda 03, Addis Ababa, Ethiopia — info@oly.et ("OLY", "we"). "You" is the business that signs up. The person accepting these terms confirms they may sign for that business.

2. The service

A hosted business management system for your company at your own address (yourcompany.olyerp.com or your own domain): the package, add-ons and number of users you choose, hosting, daily backups, updates, Ethiopian tax and payroll rule updates, standard support, online training and help guides.

3. Free trial

14 days with sample data, no payment. At the end of the trial the system stops unless you buy a package. Trial data is deleted 30 days after the trial ends.

4. Prices and payment

  • Prices are the list prices on olyerp.com on the day you order, in Ethiopian birr. VAT 15% is added.
  • The subscription is paid in advance for the period you choose (monthly, 3 or 6 months, 1, 2 or 3 years). Longer periods are discounted as shown on the price page; 2- and 3-year terms are paid in one payment.
  • The one-time setup is paid 50% when you order, 30% at go-live and 20% thirty days after go-live.
  • Invoices are due within 7 days. You get a VAT invoice in your company's name and TIN.
  • We keep your price for the period you paid. We may change list prices for later periods with at least 60 days' notice; you may then stop at the end of your paid period.

5. When your system is created

For online orders, your system is created as soon as your first invoice is paid, and we email you how to sign in.

6. Renewal and reminders

Your subscription renews for the same period. We send the renewal invoice and reminders 7 and 2 days before the due date and 2 days after it. To stop, tell us at least 30 days before the end of your paid period.

7. If a payment is late

The system keeps working for a grace period of 7 days. After that it becomes read-only: you can sign in, see and export your data, but not enter new transactions. It reopens automatically, normally within an hour, when payment is recorded. After 90 days unpaid we give 14 days' written notice, take a final backup and switch the system off. We keep that backup for 12 months. A person at OLY always takes this decision.

8. Your data

  • Your data is yours. You can export it at any time, and when you leave you can download it for 30 days; we provide a full backup file once free of charge.
  • We use your data only to run and support your system. We never sell it.
  • OLY staff open your system only to help you (after you ask, or to keep it running). Every access is logged.
  • We never ask for your password.

9. Support

Through olyerp.com/support, the Help menu in your system, and email (support@oly.et), on business days Monday–Friday 8:30–17:30 and Saturday 8:30–12:30, Addis Ababa time, excluding public holidays. First reply within one business day (Standard). Faster support (Priority, Dedicated) is available at extra cost.

10. Updates

We keep your system up to date. Planned updates of client systems take place between 18:00 and 23:00 Addis Ababa time, and we tell you the day before. A full backup is taken first.

11. Your responsibilities

Keep logins secret, give each person their own login, remove people who leave, and check your own accounting, tax and payroll results and filings. Official tax invoices under the Ministry of Revenue's e-invoicing rules stay on your approved invoicing machine or system until we tell you OLY ERP is approved for it. Do not resell the service, try to reach other clients' systems or use it unlawfully.

12. Our responsibility

We provide the service with reasonable skill and care and aim for 99.5% availability each month, excluding announced maintenance and problems outside our control. Neither of us is liable for indirect loss or lost profit. Our total liability in any 12 months is limited to what you paid us in those 12 months. If the service is down for more than 7 consecutive days through our fault, you may stop and get back the unused part of what you prepaid.

13. Ownership

The OLY ERP name, software, templates, configurations, training and documentation belong to OLY or its licensors. You may use the service for your own business while your subscription is active.

14. Ending

Either side may end the service for a serious breach that is not fixed within 30 days of written notice.

15. Law

Ethiopian law applies. We first try to settle any dispute in good faith for 30 days; after that, the competent courts of Addis Ababa decide. The English text prevails over any translation.

16. Changes to these terms

We tell you by email at least 30 days before a change applies to you.
